PRINCIPAL INFORMATION

This information will be used to run background checks on all Sponsor Principals. It is necessary to have this data to fin the correct person's record and avoid confusion with other people with similar names. A Principal includes a General Partner or Managing Member of the Sponsorship entity that has cash equity invested and at risk in the ownership of a property and has an active role in the execution of the business plan. In many cases, the Principal will sign on the debt and take on recourse. Experience is the number of years a Principal has spent executing investments in a Principal capacity.
Please provide details for each Principal. We will run background checks for each individual listed.

Provide metrics on the entire historical Principal investing experience for all Principals as well as the current portfolio of all principals. This should match the information provided on the Track Record/Real Estate Schedule

Has your company, or any officers or directors, had any asset foreclosed upon or disposed of through a short sale?
Has any officer or director been indicted for, or convicted of, any criminal charge other than a minor traffic violation?
Does your typical deal structure result in net sponsor equity in the deal AFTER acquisition and organization fees?

LIABILITIES, LITIGATIONS, & JUDGEMENTS

These questions are applicable to Principals. For "YES" responses to these questions, please provide a narrative on the circumstances that created the situation, the current status, and the resolution (if applicable).
Are you, your officers, or directors party to any pending legal action where there is a claim against you for legal damages?
Have you, your officers, affiliates, and/or principals been involved in any civil litigation (as plaintiff or defendant) in the last 7 years (other than divorce and related proceedings)?
Are you, your officers, or directors a defendant in any pending or current legal action?
Are there any judgements, claims, arbitration proceedings or suits pending or outstanding against you, your organization or its officers or directors?
Have there been any judgements, claims, or suits against you, your organization or its officers or directors that have been satisfied?
Have you, your organization, its officers, or directors filed for bankruptcy or has any entity in which you were a partner or investor filed for bankruptcy, whether for reorganization or otherwise?
Are you, your officers, or any directors disqualified from utilizing the Rule 506 exemption from registration for having engaged in specific "bad acts?"
Do you and your organization carry liability insurance (D&O, and E&O)?

PRINCIPAL SIGNATURES

1. Each individual who has executed this Application on behalf of Customer understands and agrees that PREIshare may, for the purposes of verifying the information provided in this application is true and complete, obtain personal information concerning such individual(s) and/or business entities from third-party sources, including obtaining consumer reports concerning each individual(s) and/or business entities from one or more consumer reporting agencies, for purposes of enabling PREIshare to conduct due diligence on the Sponsor. This Authorization must be signed by all Principals disclosed in the "Principal Information" section above. All undersigned declare under perjury that the foregoing and the Track Record/Real Estate Schedule submitted with this application are true and correct.

2. If the Customer, or any of the Principals thereof, commit any felonies or misdemeanors related to financial matters, violate the terms of any agreements with PREIshare, or engage in a "Disqualifying Event" (as defined in Regulation D of the Securities Act), the undersigned will notify PREIshare within 5 business days of the occurrence of such incident and understands that their approval status may be revoked in such occurrence or as the result of a breach of an agreement with PREIshare or violation of applicable law.
